Silver Bow Mining signed a non-binding term sheet with Ocean Partners UK Limited on September 22, 2026, for an integrated package worth approximately $88 million comprising: (1) a $40 million concentrate prepayment facility in three tranches (Tranche A: $10M, Tranche B: $20M, Tranche C: $10M at company option) linked to 10-year zinc and lead concentrate offtake agreements for the Rainbow Block and Montana Tunnels Mine; (2) guarantees of approximately $43.1 million in reclamation surety bonds expected to release ~$42 million of cash collateral; (3) a $5 million pre-bridge financing to be funded within five business days; and (4) Ocean Partners' commitment to lead a future $5 million equity investment. The facility bears interest at 12-month SOFR plus 6.75% per annum with a 1% arrangement fee. Final definitive agreements are targeted for Q4 2026 concurrent with Silver Bow Mining's previously announced acquisition of the Jefferson County Metallurgical Complex, subject to customary closing conditions including board and shareholder approvals, DEQ acceptance of replacement surety bonds, and satisfactory due diligence.
